incorporation of maltese companies
Incorporation of a Maltese company usually takes between 2 to 3 working days, once all the necessary documents are presented to the MFSA (Malta Financial Services Authority). This is achieved provided that all requested documentation is received.
The minimum standards are as follows:
- Authorised share capital requested is €1,200 or its equivalent in any major currency (such as GBP and USD).
- Two shareholders (however a ‘single member company’ may also be registered)
- Registered companies must have a registered office situated in the Maltese Islands.
- A registered company can be a private limited company or a public limited company. In the case of private limited companies, there must be at least one director, whilst for public limited companies; there must be at least two directors.
- A registered company must appoint a company secretary.
- A registered company hold an annual general meeting.
- A registered company must keep proper accounting records
- A registered company must have their accounting records audited at the end of each financial year.

One must note that registration fees payable to Malta Financial Services Authority are calculated according to the company authorised share capital. However one can note that the minimum charge is €245 on an authorised share capital of €1,500 increasing up to a maximum of €2,250.
Also the annual company fee is based and computed on the amount of authorised share capital. One can also note that the minimum fee will be €100 but can increase up to a maximum of €1,400.
